On November16, 2017, Career Education Corporation (the “Company”) filed a Current Report on Form 8-K with the U.S. Securities and Exchange Commission to report that the Board of Directors of the Company (the “Board”) appointed William D. Hansen to the Company’s Board on November14, 2017 (the “Original Filing”). At the time, the Board had not made a determination regarding any Board committee assignments for Mr.Hansen. The Company is filing this amended Current Report on Form 8-K/A to report that on February1, 2018, the Board appointed Mr.Hansen to the Compensation Committee and the Nominating and Governance Committee of the Board effective on that date. Other than the preceding disclosure, no other disclosure reported in the Original Filing is amended to this Report.
