On July 27, 2017, the Board of Directors of Capital One Financial Corporation (the “Company”) declared a quarterly dividend of $0.40 per share on the outstanding shares of the Company’s common stock. The dividend is payable on August 17, 2017 to stockholders of record at the close of business on August 7, 2017.
The Company has outstanding warrants to purchase common stock of the Company, expiring November 14, 2018. In accordance with the terms of those outstanding warrants, the declaration of a dividend in excess of $0.375 per share will result in an adjustment to the warrant exercise price, which will be reduced from $42.004 to $41.991 per share effective as of the close of business on August 7, 2017.
