On March24, 2017, Callaway Golf Company (the Company) amended the
Second Amended and Restated Loan and Security Agreement, dated as
of December22, 2011, to add its subsidiary Ogio International,
Inc. as a borrower thereunder.
The foregoing description is qualified in its entirety by
reference to the Seventh Amendment, a copy of which is attached
as Exhibit 10.1 and incorporated by reference in its entirety in
this Item 1.01.

Callaway Golf Company designs, manufactures and sells golf clubs, golf balls, golf bags and other golf-related accessories. The Company has two segments: the golf clubs segment and golf balls segment. The golf clubs segment consists of its woods, hybrids, irons and wedges and Odyssey putters.
