(d)On September27, 2017, the Board of Directors (the “Board”) of California Water Service Group (the “Company”) voted to elect Carol M. Pottenger, to the Board, effective September27, 2017, to fill a vacancy created by the increase in the size of the Board.

There are no arrangements or understandings between Ms.Pottenger and any other person to which Ms.Pottenger was selected as a director. There is no information that is required to be disclosed with respect to Ms.Pottenger to Item 404(a)of RegulationS-K.

On September27, 2017, the Company issued a press release announcing the election of Ms.Pottenger to the Board. A copy of the press release is attached hereto as Exhibit99.1 and is incorporated into this Item 5.02 by this reference.

Item 5.02. Other Events.

On September27, 2017, the Board voted to increase the size of the Board from nine to ten directors, effective September27, 2017.

California Water Service Group is a holding company that provides water utility and other related services in California, Washington, New Mexico and Hawaii through its subsidiaries. It operates through supply and distribution of water, and providing water-related utility services segment. Its business comprises the production, purchase, storage, treatment, testing, distribution and sale of water for domestic, industrial, public and irrigation uses, and for fire protection. It provides non-regulated water-related services under agreements with municipalities and other private companies.
