On April26, 2017, we held the annual meeting of shareholders of
Calavo Growers, Inc. at 15765 W. Telegraph Road, Santa Paula,
California, 93060. At the meeting, the holders of our outstanding
common stock acted on the following matters:

Calavo Growers, Inc. is a provider of fresh food and operates in the avocado industry. The Company is engaged in marketing and distributing avocados, prepared avocados and other perishable foods. It operates through three segments: Fresh products, Calavo Foods and RFG. The Fresh products segment includes all operations that involve the distribution of avocados and other fresh produce products. The Calavo Foods segment represents all operations related to the purchase, manufacturing and distribution of prepared products, including guacamole, tortilla chips and salsa.
