On April 23, 2019, the Companys Annual Meeting of Stockholders was held. Matters voted on by the stockholders included: (i) election of six directors to hold office for a term of one year or until their successors are duly elected and qualified; (ii) a non-binding advisory vote to approve the compensation of the Companys named executive officers (Say-on-Pay vote); (iii) ratification of the Second Amendment of our Section 382 Rights Agreement(iv) approval of the adoption of the Amended and Restated Broadwind Energy, Inc. 2015 Equity Incentive Plan and (v) ratification of the appointment of RSM US LLP as the Companys independent registered public accounting firm for 2019. The results of the stockholders votes are reported below:
