On April20, 2017, Booz Allen Hamilton Holding Corporation (the
Company) issued a press release announcing the pricing by Booz
Allen Hamilton Inc., a wholly-owned subsidiary of the Company
(the Issuer), of $350 million aggregate principal amount of
5.125% Senior Notes due 2025 (the Notes). The Notes are being
offered and sold in transactions exempt from registration under
the Securities Act of 1933, as amended (the Securities Act).
A copy of the press release is filed herewith as Exhibit 99.1 and
is incorporated herein by reference.
