On April 14, 2017, eGov Holdings, Inc. (“eGov”) and Aquilent, Inc. (“Aquilent” and, together with eGov, the “New Subsidiaries”), wholly-owned subsidiaries of Booz Allen Hamilton Inc. (the “Company”), entered into an assumption agreement (the “Assumption Agreement”) to which the New Subsidiaries agreed to become parties to the guarantee and collateral agreement relating to the Credit Agreement, dated as of July 31, 2012 (as amended by the First Amendment to the Credit Agreement, dated as of August 16, 2013, the Second Amendment to the Credit Agreement, dated as of May 7, 2014, the Third Amendment to the Credit Agreement, dated as of July 13, 2016, and the Fourth Amendment to the Credit Agreement, dated as of February 6, 2017, the “Credit Agreement”), among the Company, Booz Allen Hamilton Investor Corporation, certain subsidiaries of the Company, Bank of America, N.A., as administrative agent, collateral agent and issuing lender, and the other lenders and financial institutions from time to time party thereto, and to unconditionally guarantee the obligations of the Company under the Credit Agreement, and granted a security interest in substantially all of their assets (subject to certain exceptions) to secure their respective obligations and the obligations of the Company under the Credit Agreement.
