Item 5.07. Submission of Matters to a Vote of Security Holders.

The 2017 annual meeting of stockholders (the Annual Meeting) of
BlackLine, Inc. (the Company) was held on May 10, 2017, at the
Companys corporate offices in Woodland Hills, California. Present
at the Annual Meeting in person or by proxy were holders of
40,444,225 shares of the Companys common stock, representing
78.86% of the voting power of the shares of the Companys common
stock as of March 13, 2017, the record date for the Annual
Meeting, and constituting a quorum for the transaction of
business. The proposals voted upon at the meeting and the vote
with respect to each such matter are as set forth below:

LLP as the Companys independent registered public accounting firm
for the fiscal year ending December 31, 2017

Based on the votes set forth above, the stockholders ratified the
appointment of PricewaterhouseCoopers LLP as the Companys
