(c) Appointment of New Principal Accounting Officer
On April 1, 2019 Beacon Roofing Supply, Inc. (“Beacon” or the “Company”) issued a press release announcing that ThomasD.Schmitz, age 51, has accepted the position of Vice President and Chief Accounting Officer, effective April 15, 2019. A copy of the press release is attached hereto as Exhibit 99 and is incorporated by reference herein.
Mr. Schmitz’s compensation will consist of an annual salary, performance bonus, and certain fringe benefits that are commensurate with those given to the Company’s other Vice Presidents. He will continue to be eligible to participate in all benefit plans available to full-time Beacon employees.
