Inc. (the Company) issued a press release announcing that it had
completed a private placement of $5,000,000 in unregistered notes
(the Press Release). A copy of the Press Release is attached
hereto as Exhibit 99.1.

Bank of the James Financial Group, Inc. is a bank holding company for Bank of the James (Bank). The Bank is a Virginia banking corporation engaged in general retail and commercial banking business.
