Bank of Marin Bancorp (NASDAQ:BMRC) Files An 8-K Entry into a Material Definitive AgreementItem 1.01Entry into a Material Definitive Agreement.
On July 31, 2017, Bank of Marin Bancorp (“BMRC”) (NASDAQ: BMRC), Bank of Marin, the wholly-owned subsidiary of BMRC (the "Bank"), and Bank of Napa, N.A. (“Napa”), entered into an Agreement to Merge and Plan of Reorganization, to which Napa will merge with and into the Bank (the "Merger"). As a result of the Merger, the separate corporate existence of Napa, a national banking association organized under the laws of the United States, will cease and the Bank, a California banking corporation, will continue as the surviving corporation. The Merger is expected to be completed in the fourth quarter of 2017, subject to approval of the Merger by shareholders of Napa, receipt of required regulatory and other approvals and satisfaction of customary closing conditions.
In the Merger, all of the outstanding shares of Napa common stock will be cancelled, and shareholders of Napa will receive 0.307 shares of BMRC common stock for each share of Napa common stock ("Exchange Ratio"). The Merger is expected to qualify as a tax-free exchange for shareholders of Napa who receive BMRC common stock.
The Merger agreement contains various customary representations, warranties and covenants by BMRC and Napa. Napa agreed to conduct its business in the ordinary course and forbear from taking certain actions while the acquisition is pending. In addition, Napa agreed that it will not initiate, solicit or encourage proposals for an alternative business combination transaction or, subject to certain exceptions, enter into discussions or furnish information in connection with any proposals for alternative business combination transactions.
At the effective time of the Merger, outstanding Napa stock options will be replaced by stock options to purchase BMRC shares that are exercisable upon closing. The number of shares exercisable is the product of (A) the number of shares of Napa Common Stock that were purchasable immediately prior to the effective time of the Merger multiplied by (B) the Exchange Ratio, rounded down to the nearest whole number of shares of BMRC Common Stock. The per share exercise price of the substitute options is determined by dividing (A) the exercise price per share of Napa Common Stock at which such Napa Stock Option was exercisable immediately prior to the Merger by (B) the Exchange Ratio. Each substitute option will have a duration equal to the remaining duration of the Napa Stock Option for which it is substituted.
The Merger will not be completed unless a number of customary closing conditions are met, including, among others, approval of the Merger by Napa shareholders, the registration of the offering of the BMRC common stock to the Napa shareholders under the Securities Act of 1933, as amended, the approval for quotation of such stock on the Nasdaq Global Market, receipt of required regulatory and other approvals and the expiration of applicable statutory waiting periods, the accuracy of specified representations and warranties of each party, receipt by BMRC of a tax opinion confirming certain tax aspects of the acquisition, Napa meeting a shareholder equity test shortly prior to closing, and the absence of any injunctions or other legal restraints.
The Merger agreement contains termination rights which may be exercised by BMRC or Napa in specific circumstances, such as the following: a required regulatory approval has been denied by final, non-appealable action of a governmental entity; the parties are unable to complete the Merger by March 31, 2018; the other party has committed a breach of a representation, warranty or covenant and the breach is not or cannot be cured within 30 days; or Napa's shareholders fail to approve the Merger. In addition, Napa may terminate the Merger agreement to enter into an alternative business combination transaction to a “superior proposal,” as defined by the Merger agreement. If the Merger agreement is terminated under certain circumstances, Napa has agreed to pay BMRC a termination fee of $1,900,000.
In connection with the Merger agreement, each of the persons currently serving as a director of Napa entered into a voting agreement with BMRC in which they agreed, among other things, to vote their shares of Napa common stock in favor of the Merger. The representations, warranties and covenants of each party set forth in the Merger agreement have been made only for purposes of, were and are solely for the benefit of the parties to, the Merger agreement, may be subject to limitations agreed upon by the contracting parties, including being qualified by confidential disclosures made for the purposes of allocating contractual risk between the parties to the Merger agreement instead of establishing these matters as facts, and may be subject to standards of materiality applicable to the contracting parties that differ from those applicable to investors.
