Loan and Security Agreement
On June 30, 2017, aTyr Pharma, Inc. (the “Company”) entered into the First Amendment (the “Loan Amendment”) to the Loan and Security Agreement with Silicon Valley Bank (“SVB”) and Solar Capital Ltd. (“Solar”, and together with SVB, the “Lenders”). The Loan Amendment amends that certain Loan and Security Agreement between the Company and the Lenders, dated as of November 18, 2016 (the “Loan Agreement”).
The Loan Amendment modifies certain conditions under which the Company may receive and repay term loans under the Loan Agreement, which provides for up to $20.0 million in term loans in three tranches. The Loan Amendment provides that (i) up to $5.0 million in the second tranche of term loans may be drawn down by the Company at any time before the earlier of June 30, 2017 or an event of default, at the Company’s discretion, which term loans are no longer subject to achievement of certain milestones, and (ii) an additional $5.0 million in the third tranche of term loans may be drawn down by the Company at any time after June 30, 2017 and before the earlier of December 31, 2017 or an event of default, at the Company’s discretion, subject to achievement of certain milestones.In connection with the Loan Amendment, the second tranche of $5.0 million was funded on June 30, 2017.If the Company fails to meet certain milestones set forth in the Loan Amendment by August 31, 2017, then the Company will be required to secure the second tranche term loans with cash until such time that those milestones are met.If such milestones are not met by October 31, 2017, the Company will have the option to maintain the cash security for the second tranche term loans or pre-pay the second tranche term loans.

Warrants
As previously disclosed, in connection with the Loan Agreement, the Company agreed to issue warrants to each of SVB and Solar to purchase that number of shares of the Company’s common stock equal to 3% of the amount loaned under the Loan Agreement by SVB and Solar, respectively, or $75,000, divided by the lesser of (i) the average closing price of the Company’s common stock for the 10 trading days prior to the date of issuance of the warrants and (ii) the closing price of the Company’s common stock on the date prior to the date of issuance of the warrants in connection with the Company’s draw down of the second tranche under the Loan Agreement (the “Warrants”). The number of shares for each Warrant is 20,833 shares and the exercise price for each Warrant is $3.60 per share. The Warrants are immediately exercisable and will expire on June 30, 2024, provided that such Warrants have not been previously exercised or have expired in connection with certain fundamental transactions involving the Company.
