Item 5.02. Departure of Directors or Certain Officers; Election
of Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.

On January 5, 2017, Michael R. Meyers, Senior Vice President and
Chief Financial Officer of Ascent Capital Group, Inc. (Ascent)
and Executive Vice President and Chief Financial Officer of
Monitronics International, Inc. (MONI), announced his intention
to retire from Ascent and MONI by the end of 2017.
Item 7.01. Regulation FD.
On January 5, 2017, Ascent issued a press release, attached
hereto as Exhibit 99.1, announcing Mr. Meyers intention to retire
from Ascent and MONI. This Item 7.01 and the press release
attached hereto are being furnished to the Securities and
Exchange Commission in satisfaction of the public disclosure
requirements of Regulation FD and shall not be deemed filed for
any purpose.
