On October26, 2017, Array BioPharma Inc. (the “Company”) held its Annual Meeting. There were 137,196,593 shares of common stock represented in person or by valid proxies at the Annual Meeting and entitled to be voted, representing 79.9% of the 171,766,223 shares of common stock outstanding as of the August30, 2017 record date. The stockholders voted on four proposals at the Annual Meeting.
