On April11, 2018, Argan,Inc. (“Argan”) issued a press release announcing its financial results for the fourth quarter and fiscal year ended January31, 2018.

A copy of Argan’s press release is attached to this report as Exhibit99.1 and is incorporated herein by reference.

Item 8.01 Other Events.

In the press release, Argan also announced that on April10, 2018, its Board of Directors declared a quarterly cash dividend of $0.25 per share of common stock. The dividend is payable on April30, 2018 to stockholders of record at the close of business on April20, 2018.
