The Company was formed to acquire, through a merger, share exchange, asset acquisition, stock purchase, plan of arrangement, recapitalization, reorganization or other similar business combination, one or more businesses or entities. The Company’s efforts in identifying prospective target businesses are not limited to a particular industry or geographic region of the world. The Company is focused on its search for target businesses in the Andean region of South America and in Central America. The Company is not engaged in, and will not engage in, any commercial business. The Company intends to utilize cash derived from the proceeds of initial public offering and the private placement of Private Placement Units, its share capital, debt or a combination of these in effecting a business combination.
