Item 4.01Change in Registrant’s Certifying Accountant.

As previously reported in a Current Report on Form 8-K filed on June 15, 2017, which is incorporated herein by reference, on June 9, 2017, PricewaterhouseCoopers LLP notified Amyris, Inc. (the “Company”) that it declined to stand for re-election as the independent registered public accounting firm for the Company. On June 28, 2017, the Company, with the approval of the Audit Committee of the Board of Directors of the Company, appointed KPMG LLP (“KPMG”) to serve as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2017.

During the Company’s two most recent fiscal years, which ended December 31, 2016 and December 31, 2015, and the subsequent interim period through June 28, 2017, neither the Company nor any person on its behalf consulted with KPMG with respect to either (i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, and neither a written report was provided to the Company nor oral advice was provided that KPMG concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing or financial reporting issue; or (ii) any matter that was either the subject of a “disagreement” or a “reportable event” as such terms are described in Items 304(a)(1)(iv) or 304(a)(1)(v), respectively, of Regulation S-K promulgated under the Exchange Act.
