On January 17, 2018, Ameri Holdings, Inc. (the “Company”) resolved the payment of all earn-out payments to the former members (the “Members”) of its wholly-owned subsidiary Ameri100 Arizona LLC (formerly DC&M Partners, L.L.C., “DCM”) with respect to the 2016 earn-out period in connection with the Membership Interest Purchase Agreement, dated July 29, 2016, among the Company, DCM, the Members, Giri Devanur and Srinidhi “Dev” Devanur. In addition, the Company has completed all payment obligations to the former shareholders (the “Shareholders”) of Ameri100 Georgia Inc. (formerly Bellsoft, Inc., “Bellsoft”) in connection with the Share Purchase Agreement (“Bellsoft SPA”), dated November 20, 2015, among the Company, Bellsoft and the Shareholders. The Company has no further payment obligations to the Bellsoft SPA.
