AMEDICA CORPORATION (NASDAQ:AMDA) Files An 8-K Entry into a Material Definitive Agreement

Item 1.01

On January 24, 2017, Amedica Corporation closed (the Closing) its
previously announced underwritten public offering (the Offering)
of 8,900,000 shares of its common stock and warrants to purchase
4,005,000 shares of its common stock. In connection with the
Closing, the Company entered into a warrant agency agreement with
American Stocker Transfer Trust Co. (AST), to which AST will
serve as warrant agent for the warrants issued in the Offering. A
copy of the Warrant Agency Agreement is attached to this report
as Exhibit 10.1 and incorporated herein by reference.
