to a supplemental indenture, dated as of February17, 2017, among
AMC Entertainment Holdings,Inc. (the Company),
Carmike Cinemas,Inc., a wholly-owned subsidiary of the Company
(Carmike), the guarantors party thereto (the
Guarantors), and Wells Fargo Bank, National
Association, as trustee (the Trustee) to the
Indenture, dated as of June17, 2015 (the
Indenture), providing for the issuance of
Carmikes 6.00% Senior Secured Notes due 2023 (the
Notes), the Company has agreed to provide a
guarantee of Carmikes obligations under the Notes. The Company is
providing such guarantee solely for purposes of assuming the
reporting obligations of the Company under the Indenture and not
for the purposes of compliance with any other covenant contained
in the Indenture.
On February17, 2017, the Company completed the sale (the
Sale) of an additional 1,283,255 shares of its
ClassA common stock at the public offering price of $31.50 per
share to the partial exercise of the over-allotment option
granted to the underwriters in connection with the underwriting
agreement (the Underwriting Agreement), dated as
of February7, 2017, by and among the Company and Citigroup Global
Markets Inc. and Merrill Lynch, Pierce, Fenner Smith
Incorporated, as representatives of the several underwriters
named in Schedule II thereto. The legal opinion of Weil, Gotshal
Manges LLP relating to the shares of ClassA common stock issued
to the Sale is filed as Exhibit5.1 hereto.
