Item 7.01. Regulation FD Disclosure.

On April3, 2017, AECOM issued a press release announcing that
AECOM Capital has entered into a definitive agreement to sell its
equity interest in AECOM Capitals first investment. The
transaction is expected to close in the fiscal third quarter,
subject to customary closing and other financial conditions, and
will contribute approximately $0.17 to EPS in that quarter. A
copy of the press release is attached to this report as
Exhibit99.1. Exhibit99.1 attached hereto shall not be deemed
filed for purposes of Section18 of the Securities Exchange Act of
