(d) Consistent with the recommendation of the Board of Directors of Adient (the “Board”) as set forth in Adient’s proxy statement for its 2017 Annual General Meeting and the vote of the shareholders at the 2017 Annual General Meeting, Adient has adopted a policy to include an advisory vote on named executive officer compensation on an annual basis. The Board will reevaluate this determination after the next advisory vote on the frequency of named executive officer compensation, which is expected to be held at Adient’s 2023 Annual General Meeting of Shareholders.
