(e) On July6, 2018, Accuray Incorporated (the “Company”) entered into a consulting agreement with Alaleh Nouri, its Senior Vice President, General Counsel and Secretary, to assist in the transition of her responsibilities after her departure from the Company on July6, 2018. Ms.Nouri will provide consulting and transition services from July7, 2018 through December31, 2018 and is entitled to receive continued vesting of her outstanding Company equity awards for the term of her consultancy, payment of her bonus under the Company’s Performance Bonus Plan for fiscal year 2018 and certain other post-termination benefits to the terms of the Consulting Agreement, which is filed as Exhibit 10.1 hereto.
