Item 2.01 Completion of Acquisition or Disposition of Assets

On March 2, 2017, ABV Consulting, Inc. (the Company) filed a
Current Report on Form 8-K (the Original Report) to report under
Item 2.01 thereof the completion on February 28, 2017 of the
acquisition of Allied Plus (Samoa) Limited, an international
company incorporated in Samoa with limited liability (APSL), to
that certain Share Exchange Agreement dated February 24, 2017.

This Amendment No. 1 on Form 8-K/A amends the Original Report
solely to provide certain financial statements as required by
Item 9.01(a) and 9.01(b) of Form 8-K, which were excluded from
the Original Report in reliance on Items 9.01(a)(4) and
9.01(b)(2) of Form 8-K. Except as provided herein, the
disclosures made in the Original Report remain unchanged.

The audited financial statements of APSL as of December 31, 2016
and for the period from January 11, 2016 to December 31, 2016,
and related notes, are filed as Exhibit 99.1 hereto and are

The unaudited pro forma condensed combined balance sheet of the
Company as of December 31, 2016 and the unaudited pro forma
condensed combined statement of operations of the Company for
year ended December 31, 2016 showing the pro forma effects of the
Companys acquisition of APSL are filed as Exhibit 99.2 hereto and
are incorporated herein by reference.
