Arrangements of Certain Officers.
In connection with the resignation by mutual agreement of
Mr.Mr.BrendanM. Harrington as the Chief Financial Officer and
Senior Vice President effective April21, 2017, the Company
entered into a Separation Agreement with Mr.Harrington (the
Separation Agreement) dated April26, 2017, setting forth the
terms and conditions of Mr.Harringtons departure from the
Company. The foregoing description of the Separation Agreement
does not purport to be complete and is qualified in its entirety
by reference to the text of the Separation Agreement, which is
attached to this Current Report on Form 8-K as Exhibit 10.1 and
incorporated herein by reference.
