Item 8.01 Other Events

On February 9, 2017, we filed a Report on Form 8-K reporting the
signing of a non-binding Letter of Intent (LOI) for the sale of
our Southern Hemp Company brand to Hemp Inc., a Nevada
corporation (OTC PINK:HEMP). On March 31, 2017, and to its terms,
the LOI expired with no definitive or ancillary agreements being
executed. Also, a press release confirming the expiration of the
LOI was issued this day, April 13, 2017, and is included as
Exhibit 99.

Although the above information is not required to be disclosed,
we elected to file this report in the interest of full
disclosure.
