Item8.01 Other Events

As previously disclosed in the Current Report on Form 8-K filed
by Citizens, Inc. (the Company) on March31, 2017 and the Form
12b-25 filed by the Company on March17, 2017, the Companys
management, in consultation with the Audit Committee, determined
that it would be unable to timely file its Annual Report on Form
10-K for the year ended December31, 2016 (the 2016 Form 10-K)
with the Securities and Exchange Commission (SEC). Due to the
delay in filing its 2016 Form 10-K, the Company suspended the
purchase of shares of the Companys ClassA common stock under the
Citizens, Inc. Stock Investment Plan (the Plan) under its
Registration Statement on Form S-3, as amended by certain
post-effective amendments on Form S-1 (Registration
No.333-185618) (the Registration Statement). After the 2016 Form
10-K is filed, the Company expects to file with the SEC another
post-effective amendment on Form S-1 to the Registration
Statement (the Amended Registration Statement). After the Amended
Registration Statement is declared effective by the SEC, the
Company expects to instruct the Plan administrator to resume
purchases under the Plan on behalf of Plan participants.

Citizens, Inc. is an insurance holding company. The Company operates in three business segments: Life Insurance, Home Service and Other Non-Insurance Enterprises. The Life Insurance segment issues ordinary whole life insurance in the United States and in the United States Dollar-denominated amounts to foreign residents. It operates this segment through its subsidiaries, including CICA Life Insurance Company of America (CICA) and Citizens National Life Insurance Company (CNLIC). The Home Service segment sells limited-liability, named peril property policies covering dwelling and contents. Its home service insurance products consist of small face amount ordinary whole life and pre-need policies, which are designed to fund final expenses for the insured, primarily consisting of funeral and burial costs. The Other Non-insurance Enterprises segment includes Computing Technology, Inc. and Insurance Investors, Inc. This segment also includes the results of Citizens, Inc., the parent company.
