Item 8.01. Other Events

On March31, 2017, Oklahoma Gas and Electric Company, an Oklahoma
corporation (OGE), completed the issuance of $300 million in
aggregate principal amount of its 4.150% Senior Notes, Seriesdue
April1, 2047 (the Senior Notes). The offering of the Senior Notes
was registered under the Securities Act of 1933, as amended, to
OGEs registration statement on FormS-3 (File no. 333-213005-01).
A prospectus supplement relating to the offering and sale of the
Senior Notes was filed with the Securities and Exchange
Commission on March29, 2017.

Attached as Exhibit4.01 is the Supplemental Indenture No.16 dated
as of March15, 2017 between OGE and UMB Bank, N.A., as trustee,
creating the Senior Notes. Attached as Exhibit5.01 is an Opinion
of Counsel as to the legality of the Senior Notes. Attached as
Exhibit12.01 is the calculation of the ratio of earning to fixed
charges.
