On March 7, 2017, the Board of Directors (the “Board”) of Lands’ End, Inc. (the “Company”) elected Robert A. Bowman to the Board, effective immediately. Mr. Bowman, 61, is President of Business and Media of Major League Baseball and Chief Executive Officer of Major League Baseball Advanced Media, the Internet and interactive media unit of Major League Baseball. Mr. Bowman will hold office until the 2017 annual meeting of stockholders of the Company, or until his successor is duly elected and qualified. Mr. Bowman will serve as a member of each of the Audit Committee, the Related Party Relationships Committee and the Technology Committee of the Board. The Board has determined that Mr. Bowman meets the standards of independence under the Company’s Corporate Governance Guidelines and the applicable NASDAQ listing rules. There is no arrangement or understanding between Mr. Bowman and any other person to which he was selected as a director. In addition, there are no transactions in which Mr. Bowman has an interest that are required to be disclosed under Item 404(a) of SEC Regulation S-K. Mr. Bowman will be compensated for his service on the Board in the same manner as the Company’s other non-employee directors.
