Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
On February10, 2017, the Board of Directors of Ameren Corporation
(the Company) adopted amendments to the By-Laws of the Company
(the By-Laws), effective February10, 2017, to provide that
shareholders who collectively own (as defined in the By-Laws) at
least 25% of the Companys outstanding shares of common stock and
who satisfy the requirements specified in the By-Laws may have
the Secretary of the Company call a special meeting of
shareholders for certain purposes. Prior to the adoption of these
amendments to the By-Laws, shareholders did not have the right to
call a special meeting of shareholders. The amendments to the
By-Laws also include conforming changes and updates to the
By-Laws.
