On February 9, 2017, at the 2017 Annual Meeting of Stockholders
(the Annual Meeting) of Varian Medical Systems, Inc. (the
Company), the Companys stockholders approved the Varian Medical
Systems, Inc. Fourth Amended and Restated 2005 Omnibus Stock Plan
(the Fourth Amended and Restated 2005 Omnibus Stock Plan) to (i)
preserve our ability to grant awards that are intended to be
fully deductible under Section 162(m) of the Internal Revenue
Code, (ii) set a limit on the total value of equity and cash
compensation that may be paid to each of our non-employee
directors each fiscal year, and (iii) make other changes
described in our proxy statement on Schedule 14A filed on
December 30, 2016 (the Proxy Statement).
A summary of the Fourth Amended and Restated 2005 Omnibus Stock
Plan is set forth in the Proxy Statement. That summary and the
foregoing description are qualified in their entirety by
reference to the text of the Fourth Amended and Restated 2005
Omnibus Stock Plan, which was filed as Appendix A to the Proxy
Statement and is incorporated by reference herein.
