On February 8, 2017, the stockholders of BSB Bancorp, Inc. (the
Company) approved the Companys 2017 Equity Incentive Plan (the
Plan). A description of the material terms and conditions of the
Plan was previously included in the Companys Proxy Statement
filed with the Securities and Exchange Commission on January 3,
2017.
Item 5.07 Submission of Matters to a Vote of Securities Holders
A Special Meeting of Stockholders of the Company (Special
Meeting) was held on February 8, 2017. The Plan was submitted to
a vote of the stockholders at the Special Meeting. The final
result of the stockholder vote on the Plan is as follows:
Proposal 1: Approval of the BSB Bancorp, Inc. 2017 Equity
Incentive Plan.

Having received the affirmative vote of 93.53% of the votes cast
