On February 8, 2017, Real Goods Solar. Inc. (the Company) issued
a press release announcing that it has priced a registered
offering of (A) units, each consisting of one share of Class A
common stock, par value $0.0001 (Common Stock) and a Series M
Warrant to purchase 75% of one share of Common Stock, and (B)
units, each consisting of one prepaid Series N Warrant to
purchase one share of Common Stock and a Series M Warrant to
purchase 75% of one share of Common Stock. A copy of the press
release is attached to this Form 8-K as Exhibit 99.1 and is
incorporated herein by reference.
This Current Report on Form 8-K and the press release attached
hereto are being furnished by the Company to Item 7.01. In
