On November 18, 2016, the shareholders of the Company, by unanimous written consent, appointed Robert Abenante to the position of Director, to serve until such time as his resignation or removal. On November 21, 2016, the Company filed a Form 8K reporting the appointment. On November 25, 2016, Mr. Abenante advised the Company that he would not be accepting the appointment at this time and tendered his resignation, but would instead act in a consulting capacity with the Company upon terms to be negotiated.
