On June 1, 2019, the Board of Directors (the “Board”) of Tenet Healthcare Corporation (the “Company”) appointed Christopher S. Lynch to the Board, effective on August 7, 2019. The size of the Board will increase from 10 to 11 directors at such time as Mr. Lynch’s appointment becomes effective. Mr. Lynch’s initial term will expire concurrently with the terms of the other members of the Board at the Company’s 2020 Annual Meeting of Shareholders. Mr. Lynch has not yet been appointed to serve on any committees of the Board.
Mr. Lynch will participate in the non-employee director compensation programs described under “Director Compensation” in the Company’s proxy statement filed with the Securities and Exchange Commission on March 22, 2019. There are no arrangements or understandings to which Mr. Lynch was appointed to the Board, and Mr. Lynch is not a party to any transaction with the Company reportable under Item 404(a) of Regulation S-K under the Securities Act of 1933.
