Pricing of Secondary Public Offering of Common Stock

On June29, 2018, Profire Energy,Inc. (the “Company”) issued a press release announcing the pricing of a secondary public offering (the “Offering”) of 7,500,000 shares of its common stock, to be sold by certain of the Company’s stockholders (the “Selling Stockholders”) at a public offering price of $3.25 per share to a syndicate of underwriters led by sole book-running manager Roth Capital Partners. Lake Street Capital Markets and Chardan are acting as co-managers in the Offering. The Offering of 7,500,000 shares of common stock is expected to settle on July 3, 2018, subject to customary closing conditions. The Company is not selling any shares of its common stock in this Offering and will not receive any proceeds from the sale of the shares by the Selling Stockholders. A copy of the press release is furnished as Exhibit99.1 to this Current Report and is incorporated by reference into this Item 8.01.
