Item 1.01 Entry into a Material Definitive Agreement.

On March 30, 2018, Radisys Corporation (the “Company”) entered into amendments to the warrants with HCP-FVG, LLC and CIDM LendCo, LLC (the “Amendments”) previously issued on January 3, 2018 in connection with a note purchase agreement. The Amendments provide that the Company may not make distributions to its shareholders until all obligations under such note purchase agreement are paid or discharged in full and also modify the provisions regarding the adjustments to be made to the warrants if, when and as the Company makes distributions prior to the exercise of such warrants.
