Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On January22, 2018, Daniel Lubin, a Managing Partner and co-founder of Radius Ventures, LLC, an affiliate of certain early venture capital investors of Tabula Rasa HealthCare, Inc. (the “Company”), gave notice of his resignation from the Board of Directors (the “Board”) of the Company, effective immediately. Mr.Lubin served as a ClassI director and was a member of the Audit Committee of the Board (the “Audit Committee”) and the Chairman of the Compensation Committee of the Board (the “Compensation Committee”). Mr.Lubin did not resign as a result of any disagreement with the Company on any matter relating to its operations, policies, or practices.

Effective immediately upon the resignation of Mr.Lubin, the Board appointed current Board member, Samira Beckwith, to serve as a member of the Audit Committee and as a member and Chair of the Compensation Committee.
