On December21, 2017, Party City Holdco Inc. (the “Company”) entered into a stock purchase agreement (the “Stock Purchase Agreement”) with Advent-Party City Acquisition Limited Partnership (“Advent”) to repurchase 19,841,694 shares of the Company’s common stock directly from Advent in a private transaction for total consideration of $242.1million.
The foregoing description of the Stock Purchase Agreement is not complete and is qualified in its entirety by reference to the complete text of the Stock Purchase Agreement, a copy of which will be filed in the Company’s Annual Report on Form 10-K for the fiscal year ended December31, 2017.

Party City Holdco Inc. is a party goods retailer and supplier of decorated party goods. The Company operates through two segments: Retail and Wholesale.
