As previously reported in the Original Form8-K,in anon-bindingadvisory vote on thefrequencyof futureSay-on-Payvotes held at the 2017 Annual Meeting, a majority of the Company’s stockholders that voted on the matter indicated a preference to hold futureSay-on-Payvotes every year as follows:

In light of these results and in accordance with its previous recommendation in the proxy statement for the 2017 Annual Meeting, the Company’s Board of Directors determined that the Company will hold futureSay-on-Payvotes on an annual basis until the occurrence of the next advisory vote on thefrequencyofSay-on-Payvotes. The next advisory vote regarding thefrequencyofSay-on-Payvotes is required to occur no later than the Company’s 2023 Annual Meeting of Stockholders.
