Item 3.02 Unregistered Sales of Equity Securities.

On August8, 2017, American Midstream Partners, LP (“AMID”) acquired from Panther Asset Management, LLC 50% of the membership interests in each of Panther Operating Company, LLC, Panther Offshore Gathering Systems, LLC and Panther Pipeline, LLC (collectively, the “Acquired Entities”) and certain related assets for an aggregate purchase price of $51,950,000, consisting of 908,127 common units representing limited partner interests in AMID (the “Common Units”) and $39,100,000 in cash, subject to adjustments for working capital and indebtedness of the Acquired Entities. The issuance of the Common Units was completed in reliance upon the exemption from the registration requirements of the Securities Act of 1933, as amended, provided by Section4(a)(2) thereof as transactions by an issuer not involving any public offering.
