On July 25, 2017, John Hall notified Greenwood Hall, Inc. (the “Company”) and the Company’s Board of Directors (the “Board”) of his resignation as Chief Executive Officer, Chairman and director on the Board, effective as of July 25, 2017. Mr. Hall's resignation was delivered within the 30-day period following the Board's notice to Mr. Hall of his gross negligence in the performance of his duties. The resignation of Mr. Hall was not due to any disagreements relating to the operations, policies or practices of the Company. A copy of Mr. Hall’s letter of resignation is filed herewith as Exhibit 99.1.
