Groupon, Inc. (Groupon) held its annual meeting of the
stockholders on June 13, 2017. Set forth below are the final
voting results for each of the proposals submitted to a vote of
the stockholders:

Directors and will serve as directors until Groupon’s next annual
meeting of stockholders or until their respective successors are
