Item 5.07 regarding the nonbinding advisory vote to approve the frequency of future advisory votes on named executive officer compensation.

Except for the foregoing, this Amendment does not amend the Original Form 8-K in any way and does not modify or update any other disclosures contained in the Original Form 8-K. Accordingly, this Amendment should be read in conjunction with the Original Form 8-K.
Item 5.07. Submission of Matters to a Vote of Security Holders.
As previously disclosed in the Original Form 8-K, at the annual meeting of stockholders held on April 11, 2017 (the “Annual Meeting”), the Company’s stockholders cast the highest number of votes for voting on an annual basis, compared to every two or three years, with regard to the nonbinding advisory vote regarding the frequency of future advisory votes on named executive officer compensation. In accordance with this result and its previous recommendation (as set forth in the definitive proxy statement for the Annual Meeting filed with the SEC on February 23, 2017), the Board of Directors determined that the Company will hold annual nonbinding advisory votes on named executive officer compensation until the next required vote on the frequency of future advisory votes on named executive officer compensation.
