(a)-(b) The Company held its 2017 Annual General Meeting on June1, 2017. At the 2017 Annual General Meeting, the Companys stockholders (1)elected the Companys three ClassI director nominees to the Companys board of directors, (2)approved the Companys executive compensation on a non-binding, advisory basis, (3)selected, on an advisory, non-binding basis, that an advisory vote on the Companys executive compensation should be held annually and (4)approved Ernst Young LLPs appointment as the Companys independent auditors for the fiscal year ending December31, 2017 and referred their remuneration to the Audit Committee of the Companys board of directors.
The results of each vote, including the number of abstentions and broker non-votes, are set forth below for each matter brought to a stockholder vote at the 2017 Annual General Meeting.

(d) On June1, 2017, following the Companys 2017 Annual General Meeting, the Companys board of directors adopted a resolution providing that an advisory vote on executive compensation would be held annually until the next required vote on the frequency of such votes.
