Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year |
On May 10, 2017 and May 31, 2017, the Board of Directors (the
Board) of Sierra Monitor Corporation (the Company) approved
amending the Bylaws of the Company (the Amended Bylaws),
effective as of the date of the Companys 2017 Annual Meeting of
Shareholders, which was held on May 31, 2017, in order to reduce
the size of the Board from five to three.
The foregoing summary of the Amended Bylaws is qualified in its
entirety by reference to the full text of the Amended Bylaws, a
copy of which is filed as Exhibit 3.2 hereto, and is incorporated
herein by reference.

Submission of Matters to a Vote of Security Holders. |
At the 2017 Annual Meeting of Shareholders, held on May 31, 2017,
the Companys shareholders:
1. Elected three directors to serve until the 2018 Annual Meeting
of Shareholders or until their successors are duly elected and
qualified;
2. Ratified the appointment of Squar Milner, LLP as the Companys
independent registered public accounting firm for the fiscal year
ending December 31, 2017; and
3. Approved, by advisory vote, the Companys executive
compensation.
Set forth below, with respect to each matter, are the number of
votes cast for, against or withheld, as well as the number of
abstentions and broker non-votes, applicable to each item.
