Item 5.03.

On May 11, 2017, SG Blocks, Inc. (the Company) filed a
Certificate of Amendment (the Preferred Stock Amendment) to the
Certificate of Designation of Preferences, Rights and Limitations
(the Certificate of Designation) of its Series A Convertible
Preferred Stock (the Preferred Stock) with the Secretary of State
of the State of Delaware to increase the stated value of the
Preferred Stock, as described in Section 2 of the Certificate of
Designation, from $1.00 to $3.00. The Preferred Stock Amendment
was approved by holders of a majority of the outstanding shares
of the Preferred Stock.

A copy of the Preferred Stock Amendment is attached hereto as
Exhibit 3.1 to this Current Report on Form 8-K and is
incorporated herein by reference.
