On May 1, 2017, the Board of Directors of Synalloy Corporation (the “Company”) unanimously approved, to the powers granted to the Board by Section 12 of the Company’s 2015 Stock Awards Plan (the “2015 Plan”), the First Amendment to the 2015 Stock Awards Plan (the “Amendment”). The Amendment amends the 2015 Plan by granting the Compensation and Long Term Incentive Committee of the Board the authority to establish and amend vesting schedules for stock awards made to the 2015 Plan.
