In a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission (the “SEC”) on January 9, 2017, Yahoo! Inc. (“Yahoo” or the “Company”) disclosed, among other things, that, immediately following the closing (the “Closing”) of the previously announced pending sale by Yahoo of its operating business (the “Sale Transaction”) to Verizon Communications Inc. (“Verizon”) to the terms of a Stock Purchase Agreement, dated as of July 23, 2016, as amended as of February 20, 2017, between Yahoo and Verizon (the “Stock Purchase Agreement”), the size of the Board of Directors of the Company (the “Board”) would be reduced to five (5) directors, that Tor Braham, Eric Brandt, Catherine Friedman, Thomas McInerney, and Jeffrey Smith would continue to serve as directors of the Company following the Closing, and that the remaining current members of the Board had indicated that they intend to resign from the Board effective upon the Closing.

On April 7, 2017, Jeffrey Smith indicated that he intends to resign from the Board effective upon the Closing, and that his intention to resign is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

The Company has initiated a search for a candidate, who would not be an “interested person” of the Company within the meaning of the Investment Company Act of 1940, to serve as a fifth director of the Company following the Closing.
